Marbeck Capital LP is registered as an investment adviser with the U.S. Securities and Exchange Commission. As a registered investment adviser, we file Form ADV, which consists of two parts. Form ADV Part 1 contains information about our business, ownership, clients, employees, and business practices. Form ADV Part 2A — our “Brochure” — provides a narrative description of our advisory services, fee structures, disciplinary history, conflicts of interest, and other material information.

A copy of our current Form ADV Part 2A is available upon request by contacting us at compliance@marbeckcapital.com. Our Form ADV filings are also publicly available through the SEC’s Investment Adviser Public Disclosure (IAPD) database.

Identifying, managing, and disclosing potential conflicts.

Marbeck Capital is committed to identifying, managing, and, where appropriate, mitigating conflicts of interest that may arise in the course of providing advisory services. We maintain a comprehensive conflicts of interest policy and employ a range of organisational and procedural safeguards including information barriers, pre-clearance requirements for personal trading, independent oversight committees, and periodic compliance reviews.

We are committed to transparency and will disclose any material conflicts to affected clients in a timely manner.

Our compensation structures and fee arrangements are designed to maintain fiduciary alignment with every principal relationship.

Compensation arrangements and fee transparency.

Compensation structures are detailed in individual advisory agreements negotiated directly with each client. We may receive asset-based fees, performance-based compensation, or a combination thereof, subject to applicable regulations. Performance-based compensation arrangements are structured in accordance with Rule 205-3 under the Investment Advisers Act of 1940 and are available only to qualified clients as defined thereunder.

Prospective clients should review the fee disclosures contained in our Form ADV Part 2A and their individual advisory agreements for a complete understanding of all applicable fees and expenses.

How to raise concerns or file a complaint.

We take all client concerns seriously and are committed to resolving complaints promptly and fairly. Please contact our Chief Compliance Officer at compliance@marbeckcapital.com. Upon receipt, we will acknowledge within five (5) business days and provide a substantive response within thirty (30) business days.

Clients of Marbeck Capital (UK) Ltd may also direct complaints to the Financial Ombudsman Service. Clients of Marbeck Capital (Singapore) Pte Ltd may contact the Monetary Authority of Singapore. U.S. clients may contact the SEC’s Office of Investor Education and Advocacy.
